Terms of Service

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services. By using the Services, you represent and warrant that you meet these requirements and have the legal capacity to enter into these Terms.

Waffy is provided free of charge. The Extension is open source and licensed under the Apache License 2.0. Source code is available at github.com/upzare/Waffy.

The Extension runs locally in your browser. You provide your own API keys for third-party AI providers, and requests are sent directly from your device to those providers. We do not operate a hosted inference backend for the Extension.

We may update, modify, suspend, or discontinue any part of the Services at any time, with or without notice.

You may use the Services only as permitted by law and these Terms. You agree not to misuse the Services or assist anyone else in doing so. Misuse includes, but is not limited to:

• Using the Extension to access, collect, or process data without proper authorization or in violation of applicable laws
• Automating actions on websites or services in breach of their terms of use or robots policies
• Attempting to interfere with, compromise, or disrupt the integrity or performance of the Services
• Using the Services to distribute malware, spam, or other harmful content
• Violating the rights of others, including privacy, intellectual property, and data protection rights
• Impersonating others or misrepresenting your affiliation with any person or entity
• Using the Services for unlawful, fraudulent, abusive, or harmful purposes

You are solely responsible for how you use browser automation features and for ensuring your use complies with the terms of any website, service, or AI provider you interact with through Waffy.

You retain ownership of prompts, instructions, and other content you provide through the Extension ("User Content"). User Content and related browsing data are processed locally on your device and sent directly to AI providers you configure.

You are responsible for ensuring that your User Content and use of the Services do not violate any law or the rights of others. You represent that you have all rights necessary to provide User Content and to authorize the Extension to interact with pages and services on your behalf.

For Website interactions (such as waitlist sign-ups or support requests), you grant us a limited license to use the information you submit solely to operate and improve the Website and communicate with you.

The Extension connects to third-party AI providers (such as OpenAI, Anthropic, Google AI Studio, xAI etc.) using API keys you supply. Those providers are independent third parties, and your use of them is subject to their own terms, pricing, and policies.

We are not responsible for the availability, accuracy, output, or practices of any third-party provider or website you automate with Waffy. Any fees charged by AI providers are between you and those providers.

The Waffy name, logo, Website content, and branding are owned by or licensed to UPZARE TECHNOLOGIES PRIVATE LIMITED. You may not use our trademarks or branding without our prior written consent, except as permitted by law.

The Extension source code is licensed under the Apache License 2.0. Your rights to use, modify, and distribute the source code are governed by that license, not by these Terms, except where these Terms apply to your use of the Website or our branded Services.

If you contribute to the Waffy open-source project, your contributions are subject to the project's contribution guidelines and the Apache License 2.0. By submitting a contribution, you represent that you have the right to do so and that your contribution may be distributed under the project license.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, secure, or that automated actions will always produce correct results. AI-generated outputs and browser automation may be inaccurate, incomplete, or unsuitable for your intended use. You are responsible for reviewing actions taken by the Extension before relying on them.

TO THE FULLEST EXTENT PERMITTED BY LAW, UPZARE TECHNOLOGIES PRIVATE LIMITED AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) INR 5,000. BECAUSE THE SERVICES ARE PROVIDED FREE OF CHARGE, THIS AMOUNT WILL TYPICALLY BE INR 5,000.

You agree to indemnify, defend, and hold harmless UPZARE TECHNOLOGIES PRIVATE LIMITED, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Services, your User Content, your violation of these Terms, or your violation of any law or third-party rights.

You may stop using the Services at any time by uninstalling the Extension or ceasing use of the Website. We may suspend or terminate your access to any hosted Website features if we reasonably believe you have violated these Terms.

We may update these Terms from time to time. If we make material changes, we will post the updated Terms on the Website and revise the Effective Date above. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in India.
